Terms of Service

These terms govern the use of Reversa, an app for Shopify stores that records catalog changes, alerts you to anomalous changes and helps you undo them. By installing Reversa, or by using it on behalf of a store, you accept these terms, the App Privacy Policy and the Data Processing Addendum, which form part of them.

1. Who provides the service

Reversa is a service of Santiago Gili Silvestre, a self-employed individual (autónomo) with Spanish tax ID 34764541H and address at C/ Dels Montcada, 45, Local, 08203 Sabadell (Barcelona), Spain. You can write to us at [email protected]. In these terms, "Reversa" and "we" mean him.

Reversa is not affiliated with or endorsed by Shopify Inc. Shopify is a trademark of Shopify Inc.

2. Definitions

Merchant or you: the owner of the Shopify store where Reversa is installed, who contracts and pays for the service.

Agency: a business or professional that manages merchants' stores and uses Reversa on their behalf, including the agency panel.

User: anyone who accesses Reversa with the store's permission (merchant or agency staff).

Store data: the catalog, its change history, the copies Reversa keeps and the app settings.

Undo or rollback: the action, confirmed by a user, by which Reversa writes the previous values of the selected fields back to Shopify.

3. Business use only

Reversa is a service for businesses and professionals. By accepting these terms you confirm that you use Reversa for purposes related to your trade, business or profession and not as a consumer. If applicable law nevertheless treats you as a consumer, you keep any rights that law does not allow to be excluded, and nothing in these terms limits them.

4. What Reversa does and does not do

4.1. The service. While installed, Reversa:

– Takes an initial copy of the catalog and then records the changes Shopify reports for products, variants, prices, images, product metafields, collections, status and sales channels.

– Keeps a copy of the product image files it sees from installation onwards.

– Groups changes by event, estimates their likely source and alerts you by email or Slack when an event exceeds the thresholds you set.

– Prepares a plan to undo an event, a product or a field by comparing three values (before, right after and now), saves a restore point, writes to Shopify only what you confirm and reads the store again to check the result.

– Lets you export the change history as a CSV file.

– Generates incident reports on an event, which can be shared through a read-only link that expires and can be revoked.

– Sends a periodic activity summary by email, which each recipient can stop receiving in one click.

What the service includes today is described on the website and in the app. A feature not shown as available in the app is not part of the service.

4.2. Reversa helps you undo; it does not guarantee full recovery. Reversa is a tool that helps you undo changes and checks the result. It does not guarantee that any given data can be recovered or that the outcome will be what you expect. In particular:

1. Only what Reversa recorded can be undone: changes made before installation or before the initial copy finishes, and changes Shopify did not report or reported late or incorrectly, are not covered.

2. History is kept only for your plan's period (90, 180 or 365 days).

3. Inventory is never reverted: it is recorded but not restored.

4. Deleted products and variants are not recreated: Reversa only records that the deletion happened, with the last known values.

5. Images are uploaded again and get a new URL. An image Shopify has already deleted can only be recovered if Reversa kept its copy beforehand.

6. Metafields reserved to other apps, resources that no longer exist, themes, orders, customers, discounts, shipping and store settings cannot be restored.

7. Fields someone changed after the event are treated as conflicts and kept unless you decide otherwise.

8. Other apps, integrations or people may change the data again after a rollback.

9. Shopify may reject or throttle writes (API limits, validations, platform changes).

Before you confirm, the app shows what will be undone, what will be kept and what cannot be recovered, and afterwards how many fields it checked. That check compares what Shopify returns when the store is read at that moment; it does not certify the state of your store.

4.3. Not a full backup. Reversa does not replace Shopify exports or a full backup of your store.

4.4. Reports and summaries. Incident reports and summaries describe what Reversa recorded and did; they are not certificates, audits or expert evidence of the state of your store. Whoever shares a report link decides who receives it and can revoke it at any time.

5. Your responsibilities

1. Review before confirming. Every rollback is confirmed by a user. You are responsible for reviewing the plan shown in the app before confirming it and for checking the result in your store.

2. Your own backups. Keep your own exports or backups of data that matters to your business.

3. Users and access. You decide who accesses Reversa from your store and you are responsible for what your users and your agency do in the app.

4. Alerts. Set and keep up to date the alert recipients and rules (Protection › Alerts). If you add third parties' email addresses (for example, a client's), you must have a lawful basis to do so.

5. Content. You are responsible for your catalog content being lawful and for holding the necessary rights to it, including the images Reversa copies to provide the service.

6. Shopify. You must comply with the Shopify terms that apply to you.

6. Acceptable use

You must not, and must not allow others to:

1. Use Reversa on a store without its owner's authorization.

2. Attempt to access other stores' data, bypass security measures or technical limits, or test for vulnerabilities without our written permission.

3. Reverse engineer, decompile or copy the app, except as expressly permitted by law.

4. Use Reversa to store or distribute unlawful content or for fraudulent activities.

5. Overload the service or use it in an automated way outside the app interface.

6. Resell, sublicense or make the service available to third parties, except agency use under section 7.

7. Agencies

1. An agency uses Reversa on the merchant's behalf and with the merchant's authorization. By installing or managing Reversa on a merchant's store, the agency represents that it has that authorization and has made these terms known to the merchant.

2. The contract is with the merchant who owns the store and approves the charge in Shopify. The agency is liable to Reversa and to the merchant for the actions it and its staff take in the app (for example, confirming a rollback) and for any breach of these terms.

3. Agency panel: free. Volume discounts: 20% off per store from 5 stores connected to the same agency's panel and 30% off from 15. The discount is applied through the plans or discounts Shopify supports and is adjusted if the number of stores falls below those thresholds, from the next billing period. The discount applies to all of the agency stores; when a threshold is reached, the owner of each store approves the charge at the new price in Shopify, and the discount starts from the next billing period after that approval.

4. If the merchant revokes the agency's access or stops working with it, the agency will no longer access that store's data; the data remains the merchant's.

5. Agency branding. The agency panel lets an agency show its name, logo and a colour in the panel and, if the agency turns it on, in the alerts and summaries its stores receive and in the incident reports it generates, always next to the Reversa name, as Reversa is the sender. The agency represents that it has the right to use the name and logo it uploads and that they do not infringe third-party rights. It may not use third-party marks (in particular, Shopify's or other apps') or imitate the Reversa or Shopify brands. If a brand breaches this section, Reversa may remove it after notifying the agency, and anyone may report it to [email protected]. The agency is liable for third-party claims arising from the use of that brand. Each store can remove the agency's branding from its alerts and summaries.

8. Pricing, billing and trial

1. Prices: as published in the Shopify listing and on the website, per store per month, in US dollars, plus any applicable taxes, which Shopify may add to its invoice. If your Shopify invoice is in another currency, Shopify applies its conversion and fees.

2. Billing: handled by Shopify through its app billing system, in 30-day cycles. You approve the charge when choosing a plan, which is the first step after installing, or when changing plans. Reversa does not receive or store your card details.

3. Free trial: every store gets 14 free days, with every feature, from when it chooses and approves a plan. Stores of agencies admitted to early access get 3 months free per store instead. Shopify shows the trial on the charge approval screen. The charge starts when the trial ends, unless you cancel before; if you cancel during the trial, you are not charged. The trial is once per store: if you change plans during the trial, you keep the days you have left, and if you uninstall and reinstall Reversa, the trial does not start again. There is no free plan.

4. No active plan. Until you choose a plan, Reversa does not copy your catalog or record changes; the app explains this. If you cancel the plan, or if Shopify freezes the charge because of a pending payment and it stays frozen for 14 days, Reversa pauses on that store: it stops recording new changes and sending alerts, and does not allow undoing. History already recorded is kept until its retention period ends. We will tell you in the app and by email. When you choose a plan, Reversa resumes and copies your catalog again; changes made during the pause are not recorded and cannot be undone.

5. Price changes: we will give you at least 30 days' notice. The new price applies from the next billing period after the notice and, where Shopify requires it, only once you approve the new charge. If you disagree, you may cancel with the refund in section 9.

6. Plan changes: if you move to a lower plan, history older than the new plan's period will be deleted.

9. Cancellation and refunds

Cancel anytime and get your unused days back. Not satisfied? We refund you. Specifically:

1. Cancelling. You can cancel at any time by uninstalling the app or cancelling the plan in Shopify. The service ends at that moment.

2. Unused days. We refund the part of the last charge that corresponds to the full days left in the current billing period: amount paid × unused days ÷ days in the period. Example: for a 30-day period paid at $49, if you cancel after using 14 days, we refund 16/30 of $49 ($26.13). Days already used are not refunded. You do not need to ask: we issue it within 14 days of cancellation; if you do not receive it, write to [email protected].

3. Not satisfied. If Reversa is not right for you, we refund the full amount of the last charge if you ask within 30 days of that charge. No explanation needed. This refund applies once per store in any 12-month period and does not cover charges before the last one.

4. Our mistakes. If a failure attributable to Reversa prevents you from using an essential feature of the service, we also refund the pro-rata part of the affected period, even if you do not cancel.

5. How refunds are paid. Because Shopify handles billing, refunds are issued through Shopify (a refund or credit of the app charge from the Shopify Partner Dashboard, or whatever mechanism Shopify offers at the time) and reach your Shopify invoice or payment method within Shopify's timelines. The amount is calculated in US dollars, the currency of the charge. If Shopify does not allow a particular charge to be refunded, we will offer it as a credit or, if you prefer, by bank transfer to an account you designate.

6. Abuse. We may refuse refunds under points 3 and 4 where there are clear signs of fraudulent or abusive use (for example, repeatedly installing and uninstalling to use the service for free). We will explain our reasons in writing.

7. These rules do not limit any rights you have under applicable law.

10. Availability, support and service changes

1. Reversa makes reasonable efforts to keep the service available and to process changes as soon as Shopify reports them, but does not guarantee uninterrupted or error-free service or any specific uptime.

2. Dependence on Shopify. Reversa depends on Shopify's platform, API and webhooks. We are not responsible for Shopify outages, delays, lost notifications, limits or changes, or for their consequences on recording or rollbacks.

3. Support: by email, on business days, with the target response times published for each plan. These are targets, not guaranteed deadlines.

4. We may improve or change the service. If we remove an essential feature of your plan, we will give you at least 30 days' notice and you may cancel with the refund in section 9.

11. Disclaimer of warranties

Except as expressly stated in these terms, and to the maximum extent permitted by law, Reversa is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, results or absence of errors. This section does not exclude warranties that cannot be excluded by law.

12. Limitation of liability

1. Overall cap. Reversa's total liability to you for all claims relating to the service, whatever the cause, will not exceed the greater of: (a) the amount you paid for Reversa for the affected store in the 12 months before the event giving rise to the claim; or (b) USD 100.

2. Excluded damages. Reversa is not liable for lost profits, lost sales, business, goodwill or reputation, or for indirect, special or consequential damages, even if advised of their possibility, nor for data loss you could have avoided by reviewing the plan before confirming or by keeping your own backups.

3. Exceptions. The above limits do not apply: (a) to Reversa's wilful misconduct (dolo) or gross negligence; (b) to death or personal injury; (c) to liability towards data subjects under data protection law; (d) to any other liability that applicable law does not allow to be limited or excluded, including mandatory consumer rights where applicable.

4. These limitations are an essential part of the price of the service.

13. Indemnity

You will hold Reversa harmless against third-party claims (including your end customers or, if you are an agency, the merchant) arising from use of Reversa on a store without authorization, from your catalog content, or from breach of these terms by you or your users, provided Reversa notifies you of the claim without delay and allows you to control the defense.

14. Force majeure

Neither party is liable for failure caused by events beyond its reasonable control, such as Shopify or infrastructure provider outages or changes, general internet failures, cyberattacks despite reasonable measures, disasters, conflicts, epidemics or government actions. The affected party will notify the other and take reasonable steps to mitigate. If the situation lasts more than 30 days, either party may terminate, with a refund of unused days.

15. Suspension and termination by Reversa

1. We may suspend a store's access, in whole or in part, in case of a security risk, use contrary to section 6, an order from an authority or non-payment reported by Shopify. We will give notice beforehand where possible and lift the suspension once the cause is resolved.

2. We may terminate the service for a store: (a) on 30 days' notice, without cause; or (b) immediately for a material breach not cured within 10 days of our notice, or at once if it cannot be cured. In case (a), and if we discontinue Reversa altogether, we refund unused days.

3. If we discontinue Reversa as a whole (not just one store), we will give you at least 90 days' notice before it ends, so you can export your full history as a CSV file at any point during that time.

16. End of service and data deletion

1. When you cancel or uninstall, access to the history ends.

2. Shopify notifies us about 48 hours after uninstallation (shop/redact) and we then delete all the store's data, as Shopify requires, and in any case within 30 days; technical backups are overwritten within a further 10 days. If you reinstall Reversa later, it will start with no history.

3. We keep only what the law requires (for example, billing records) and the minimal deletion record described in the Privacy Policy.

17. Intellectual property

1. Reversa, its software, design, brand and documentation belong to Santiago Gili Silvestre or its licensors. We grant you a non-exclusive, non-transferable, revocable right to use Reversa on your store while these terms are in force.

2. Your store data is yours. You grant us a limited license to process it (copy, store, display, send and write it to Shopify) solely to provide the service, under the Data Processing Addendum.

3. If you send us suggestions, we may use them freely to improve Reversa, without any obligation to compensate you.

4. We may produce aggregated technical metrics about the operation of the service that contain no catalog content and do not identify your store or any person.

18. Data protection

Processing of personal data is governed by the App Privacy Policy and the Data Processing Addendum, which prevails over these terms regarding personal data.

19. Changes to these terms

We may change these terms. For material changes we will notify you by email and in the app at least 30 days in advance, unless a law or authority requires a shorter period. If you keep using Reversa after that date, you accept the changes; if you disagree, you may cancel before then with a refund of unused days.

20. General

1. Assignment. You may not assign this contract without our consent. We may assign it to an entity that continues the Reversa business (for example, a limited company set up by the owner), with prior notice to you.

2. Severability. If any provision is void or unenforceable, the rest remains in force and that provision will be replaced by the valid one closest to its purpose.

3. No waiver. Failure to exercise a right is not a waiver of it.

4. Entire agreement. These terms, together with the Privacy Policy and the Data Processing Addendum, are the entire agreement between the parties regarding Reversa.

5. Notices. We will write to your store's contact email or in the app; you to [email protected].

21. Language

These terms are published in Spanish and English. In case of conflict, the Spanish version prevails, unless applicable law requires otherwise.

22. Governing law and jurisdiction

1. These terms are governed by Spanish law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

2. If your company is established outside Spain, the parties submit any dispute to the courts of Sabadell, Spain, to the extent permitted by applicable rules (within the European Union, article 25 of Regulation (EU) 1215/2012).

3. If your company is established in Spain, the competent courts will be those determined by Spanish procedural law.

4. If applicable law treats you as a consumer, this section does not deprive you of the protection of the mandatory rules of your country of residence or of your right to sue in the courts of your domicile.
